Service Providers Agreement

1. Introduction

This Service Providers Agreement ("Agreement") governs the relationship between Swabhimaan Eldertech Private Limited ("Swabhimaan", "we", "us", or "our") and individuals or organisations ("Service Provider", "you") who list or offer services, facilities, products, or experiences on the Swabhimaan platform (swabhimaan.co.in).

By registering as a Service Provider or submitting a listing, you agree to be legally bound by this Agreement and all associated policies. This Agreement applies to all categories of service providers including, but not limited to, senior living homes, assisted care facilities, day care centres, travel operators, product sellers, and at-home service professionals.

2. Eligibility to List

To register as a Service Provider on Swabhimaan, you must:

3. Listing Requirements and Accuracy

All listings submitted to Swabhimaan must be:

4. Commissions and Payments

Swabhimaan charges a commission on bookings made through the Platform. The applicable commission rate will be communicated to you during the onboarding process and may be revised with 30 days' written notice. By accepting a booking through the Platform, you agree to the commission terms in effect at the time of the booking.

Payments collected through the Platform will be disbursed to your registered bank account after deducting applicable commissions, taxes, and any outstanding amounts owed to Swabhimaan. Payment timelines will be specified in your onboarding documentation.

5. Bookings and Fulfilment Obligations

Once a booking is confirmed through the Platform, you are obligated to:

Repeated failure to fulfil confirmed bookings may result in suspension or removal from the Platform.

6. Quality Standards

As a Swabhimaan Service Provider, you agree to maintain the following standards at all times:

Swabhimaan reserves the right to conduct periodic audits, mystery visits, or request documentation to verify compliance with these standards.

7. Cancellation and Refund Obligations

If you cancel a confirmed booking, you must:

Repeated or unwarranted cancellations may result in penalties, including temporary suspension, reduced visibility on the Platform, or removal. Swabhimaan may deduct applicable refund amounts from future payouts where you are found responsible for a cancellation.

9. Intellectual Property and Content Licence

By submitting listing content (including photographs, descriptions, and pricing) to the Platform, you grant Swabhimaan a non-exclusive, royalty-free licence to use, display, and promote that content across our Platform and marketing channels for the duration of your listing. You retain ownership of your content but warrant that it does not infringe any third-party rights.

10. Termination

Either party may terminate this Agreement with 30 days' written notice. Swabhimaan may terminate or suspend your access immediately, without notice, if you breach any provision of this Agreement, engage in prohibited conduct, or if your continued presence on the Platform poses a risk to users or Swabhimaan's reputation. Upon termination, all outstanding payments will be settled after deduction of any applicable fees, chargebacks, or refunds owed.

11. Governing Law

This Agreement is governed by the laws of India. Any disputes shall be resolved through negotiations in the first instance. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
